CAPTURED EXPERIENCE IMAGERY INC.
TERMS AND CONDITIONS
Capitalized terms used but not defined in these Terms and Conditions have the meanings given to such terms in the Order Form.
(a) “Agreement” means these Terms and Conditions, together with the Order Form, the terms of which are hereby incorporated by reference.
(b) “Business Day” means a day other than a Saturday, Sunday or other day that is a statutory holiday in the province in which the Experience occurs.
(c) “Company” means Captured Experience Imagery Inc.”
(d) “Customer” means the customer(s) identified on the Order Form.
(e) “Experience” means the guided tour or other guided experience provided to Customer by an Operator, as further set out in the Order Form.
(f) “Force Majeure Event” means any event beyond the reasonable control of Company, including without limiting fires or fire related hazards, explosions, power outages, earthquakes, floods, spills, epidemics or pandemics, public health orders, acts of God, war or acts of war, acts of terrorism, riots, strikes, lockouts or other labour or contractor actions, acts of public authorities, or delays or defaults caused by common carriers, or other similar events which cannot reasonably be foreseen or provided against; provided, however, that lack of finances will not be considered a Force Majeure Event.
(g) “Images” means photographic images captured by the Photographer during the Experience.
(h) “Operator” means a third party tour operator or other provider of guided experiences booked or engaged directly by Customer, as further set out in the Order Form.
(i) “Order Form” means the order form completed by Customer on Company’s website, to which these Terms and Conditions apply.
(j) “Parties” means Customer and Company.
(k) “Photographer” means a professional and skilled photographer employed or contracted by Company to provide services to Customer to photograph and capture Images during the Experience.
2.1 Booking. Company will provide a Photographer to Customer to photograph the Experience at the applicable time, date, location and for the number of hours set out in the Order Form.
2.2 Photographer’s Services. The Photographer’s services will commence at the start time and end at the end time indicated on the Order Form, regardless of whether the Experience commences or ends at a different time than originally scheduled. If Customer wishes to extend the original booking time for the Photographer, subject to the Photographer’s availability, the Customer will be charged for any additional time at the Company’s hourly rate.
2.3 Changes to Booking Time or Location. Any changes to the booking time or location for the Photographer must be submitted to Company by email to email@example.com at least 24 hours prior to the scheduled start time. Company will use best efforts to accommodate any changes within the 24 hour period but makes no guarantees of the Photographer’s availability for such late booking changes.
2.4 Cancellation by Customer. If Customer wishes to cancel a booking for a Photographer it must provide notice by email to firstname.lastname@example.org. Customers that cancel a booking at least one week prior to the booking date will receive a full refund of the booking price. Customers that cancel a booking less than seven days but more than 24 hours prior to the booking date will receive a 50% refund of the booking price. Any cancellations made less than 24 hours prior to the booking date will not be entitled to a refund.
2.5 Cancellation by Company. Company may cancel a booking for a Photographer in the event the scheduled Photographer is sick, injured or otherwise unavailable or due to a Force Majeure Event. Company will use commercially reasonable efforts to find a replacement Photographer, and if no replacement Photographer is available, Company will provide notice to Customer of such cancellation by email (to the email address provided in the Order Form) and will issue to Customer a full refund of the booking price. In such event, Company will not be responsible for any travel costs, time off work, the cost to find another photographer, or any other costs or losses Customer may suffer or incur in connection with such cancellation, even if such costs or losses were foreseeable or Company had been apprised of the possibility of such costs or losses.
2.6 Safety and Treatment of Photographer. Company reserves the right to immediately terminate a booking for a Photographer during the Experience if at any time the Photographer feels unsafe or experiences any harassment or aggressive or bullying behaviour by Customer or any third party during the Experience. In such event Customer will not be entitled to a refund of the booking price.
3. PRICE AND PAYMENT
3.1 Pricing. The pricing for booking is based on an hourly rate for the Photographer and photo editing services and is set out in the Order Form.
3.2 Taxes. The pricing on the Order Form is exclusive of all applicable taxes including goods and services tax and sales tax. Customer is responsible for payment of all such taxes.
3.3 Terms of Payment. Customer will pay the booking price for the Photographer in full at the time of booking. All payment must be received in full by Company prior to the Experience and will be submitted through an account of a payment provider or processor approved by Company. Customer agrees to abide by the terms and conditions applicable to such payment method. When Customer provides any payment account information to Stripe Payments Canada, Ltd. (“Stripe”), the approved payment processor of Company, Customer represents to Company that it is the authorized user of such payment account. Stripe will automatically charge Customer’s chosen method of payment on a one-time basis for the booking price, plus applicable taxes and any fees for additional Images pursuant to Section 4.2, if applicable. CUSTOMER IS FULLY LIABLE FOR ALL CHARGES TO ITS PAYMENT ACCOUNT(S). SUBJECT ONLY TO SECTIONS 2.4 and 2.5, CUSTOMER UNDERSTANDS AND AGREES THAT ONCE IT AUTHORIZES STRIPE TO CHARGE ITS PAYMENT ACCOUNT(S) OR THE ASSOCIATED CREDIT CARD FOR A CERTAIN AMOUNT, SUCH AMOUNT IS FINAL AND NON-REFUNDABLE, IN WHOLE OR IN PART, AND UNDER ANY CIRCUMSTANCES.
4. DELIVERY AND STORAGE OF IMAGES
4.1 Images. Following the Experience, Company will edit the Images and deliver an album of Images to Customer within four Business Days of the Experience. Customer will be able to choose five professionally edited Images for each hour the Photographer is booked, which Images are included in the booking price.
4.2 Additional Images. Customer may purchase additional Images for a fee per Image, based on the pricing set out in the Order Form.
4.3 Delivery of Images. Company will deliver the Images to Customer by emailing a link to a cloud-based album where the Images are stored. Customer may access the album to select the applicable Images for download. Company will send a separate email to Customer for Customer to download the applicable Images utilizing such link.
4.4 Storage of Images.
(a) The Images will be stored and accessible by Customer for a period of one year following the Experience. Customer will receive reminders by email (to the email address provided in the Order Form) notifying Customer of the expiry of the link two months and one month prior to the link’s expiry.
(b) Company will not be liable for any Images that are deleted or not otherwise available for access by Customer on the link provided to Customer after the one-year expiry period. Customer acknowledges that it is solely responsible for ensuring that all Images are downloaded and stored in a safe and secure location prior to the expiry of the one-year storage period.
5. OWNERSHIP AND LICENSES
5.1 Ownership of Images. Company will maintain ownership of and hold all intellectual property rights in the Images. Customer acknowledges that the Images are the exclusive property of Company and that Customer retains no rights in or to the Images except as expressly granted to Customer in this Agreement.
5.2 License to Use Images. Company hereby grants to Customer a worldwide, irrevocable, non-exclusive, transferable, perpetual right and license to use and fully exploit all Images that have been paid in full by Customer, including the right to publish, reproduce, modify, make derivative works of and distribute such Images. Company hereby irrevocably waives any and all of its moral rights in such Images in favour of Customer for all purposes and for the full term of any such rights.
5.3 Right to Use and Publish Images. If Customer has checked the applicable box in the Order Form to provide permission to Company to use and share the Images, this Section 5.3 will apply. If Customer has not checked such box, this Section 5.3 will not apply. Customer authorizes Company to use and publish, and authorizes Company to sublicense to the Operator to use and publish, Images containing Customer’s image, appearance and likeness for promotional and marketing purposes in Company’s or the Operator’s absolute discretion, as applicable, without any monetary compensation to Customer now or at any time in the future. Customer acknowledges that such Images may be edited, altered or modified by Company or the Operator, as applicable, without notice to Customer, and Customer waives any right to inspect or approve the use of the Images in any promotional or marketing materials.
6. DISCLAIMER AND EXCLUSION AND LIMITATION OF LIABILITY
6.1 Disclaimer. Operators are solely responsible for the operation and quality of the Experience, and Company expressly disclaims all warranties, express and implied, in connection with the Experience.
6.2 Exclusion and Limitation of Liability.
(a) Company will not be liable or responsible for any acts or omissions of Operators or other guests or participants of the Experience. Operators maintain all responsibility and liability with respect to the Experience.
(b) To the fullest extent permitted by law, any claim by Customer against Company is excluded to the extent that it is for indirect or consequential loss, loss of profits or economic loss, however it arises, or for indirect, special, punitive or exemplary damages.
(c) Despite anything in this Agreement to the contrary, in the event Company is found liable to Customer for any losses or damages suffered for any reason whatsoever, Company’s aggregate liability to Customer shall in no event exceed the sum of the booking price paid by Customer to Company for the applicable booking.
7. GENERAL TERMS
7.1 Entire Agreement and Conflict. This Agreement constitutes the entire agreement between the Parties and supersedes all negotiations, discussions, summaries and memoranda, whether oral or written, between the Parties. In the case of conflict between these Terms and Conditions and the Order Form, the terms of the Order Form will prevail.
7.2 Currency. Unless otherwise expressly provided, all dollar amounts referred to on the Order Form and all amounts payable to Company are in CAD.
7.3 Force Majeure. Company will not be liable for, or be considered to be in breach of or default under this Agreement on account of, any delay or failure to perform as required by this Agreement as a result of any Force Majeure Event.
7.4 Amendment, Modification and Waiver. No amendment to or modification, waiver, rescission, termination or discharge of this Agreement is effective unless it is in writing and executed by both Parties.
7.5 Successors and Assigns. This Agreement is binding on and inures to the benefit of the Parties and their respective successors, heirs and assigns.
7.6 Governing Law and Venue. The legal relationship of the Parties and the interpretation of this Agreement are governed by, and will be enforced, construed, and interpreted in accordance with, the laws applicable in the Province of British Columbia, without regard to its conflicts of law principles. The Parties agree that disputes under this Agreement will be resolved exclusively by the courts of the Province of British Columbia in Kelowna. The application of the 1980 United Nations Convention on Contracts for the Sale of Goods is expressly excluded.
